1.0 Scope of Application
These terms and conditions apply to all services and products provided by ZNC Digital, CVR no. 45088707, unless otherwise agreed in writing between the parties. This includes, but is not limited to, website design, development services, website optimization, mobile app development, graphic design, security and service packages, consulting, and other digital services or product deliveries.
2.0 Agreement Framework
2.1 Agreement Basis
The contractual foundation (the “Agreement”) between the customer and ZNC Digital comprises these terms and conditions, along with any official offers and order confirmations issued by ZNC Digital.
2.2 Modifications and Additions
Any changes or additions to this Agreement are only valid if confirmed in writing by both parties.
3.0 Services and Deliverables
3.1 Service Standards
All services provided by ZNC Digital will be delivered in accordance with the specifications outlined in the accepted offer.
3.2 Customer Involvement
The customer must supply ZNC Digital with the necessary content and materials required to perform the agreed-upon services. It is the customers responsibility to ensure that all the text, images and other material provided complies with the applicable copyright laws. ZNC Digital declaims any responsibility for this.
3.3 Compliance and Responsibility
ZNC Digital is not liable for ensuring that services meet any legal or industry standards beyond what is explicitly stated in writing. The customer bears full responsibility for any third-party materials (such as images and associated rights) provided. ZNC Digital is also not liable for any legal issues arising from design or functionality delivered in accordance with the customer’s specific instructions, including potential infringements on third-party digital solutions.
4.0 Pricing and Payment
4.1 Pricing
Service pricing is project-specific and determined during the proposal stage. All prices are stated exclusive of VAT.
4.2 Payment Terms
For projects exceeding DKK 10,000, ZNC Digital requires a 40% upfront payment. Hourly billed services are invoiced continuously, while subscription-based services are billed in advance. Payment is due within 10 days of the invoice date, as indicated on the invoice.
For large-scale projects, a quote must be signed before work commences. Upon the customer’s signature and project initiation, the full project amount becomes invoiced and payable, even if the customer chooses to discontinue the project before completion.
4.3 Invoicing of Projects
Unless otherwise expressly agreed in writing, the total project fee shall be invoiced in two (2) instalments. The first instalment shall be invoiced upon commencement of the project, and the second instalment shall be invoiced upon completion and delivery of the final product.
5.0 Late Payment
5.1 Interest Charges
If payment is not made by the due date and the delay is not attributable to ZNC Digital, interest will accrue on the overdue amount at a rate of 1% per month from the due date until full payment is received. A reminder fee of DKK 100 will also apply.
5.2 Default and Cancellation
If the customer fails to settle an overdue invoice within 14 days after receiving a written payment reminder, ZNC Digital reserves the right to:
(i) cancel the related services,
(ii) cancel or require advance payment for any future services, and/or
(iii) pursue other legal remedies for breach of contract.
6.0 Offers, Orders, and Order Confirmations
6.1 Offers
All offers provided by ZNC Digital are valid for a period of three (3) weeks from the date of issuance, unless otherwise specified in the offer. Any acceptance received after the validity period is not binding unless ZNC Digital explicitly confirms otherwise.
6.2 Orders
Customers must submit service orders in writing, unless an alternative arrangement has been agreed upon in advance.
6.3 Order Confirmations
ZNC Digital aims to issue a written confirmation or rejection of service orders within five (5) business days of receiving the order. Only written confirmations or rejections are binding on ZNC Digital.
6.4 Order Changes
Once an order is placed, it may not be modified without prior written consent from ZNC Digital.
6.5 Conflicting Terms
If ZNC Digital’s order confirmation includes terms that deviate from the customer’s order or from the agreed terms, and the customer does not accept these differences, the customer must notify ZNC Digital in writing within five (5) business days of receiving the confirmation. Failure to do so will be considered acceptance of the order confirmation.
7.0 Delivery
7.1 Delivery Timeline
If a specific delivery date is required, it must be agreed upon in writing at the time of order placement. Delivery will then follow the schedule specified in ZNC Digital’s order confirmation, provided no unforeseen circumstances arise beyond ZNC Digital’s control. Timely delivery also depends on the customer providing all required materials as agreed.
7.2 Inspection and Complaints
The customer must inspect the delivered services immediately upon receipt. Any errors or defects must be reported to ZNC Digital in writing without delay. Issues that are not promptly reported—despite being noticed or reasonably noticeable—cannot be claimed at a later time.
8.0 Delays in Delivery
8.1 Delay Notification
Should a delay in delivery be anticipated, ZNC Digital will promptly inform the customer, providing both the reason for the delay and an updated estimated delivery date.
8.2 Customer Right to Cancel
If ZNC Digital fails to deliver within 14 days of the agreed deadline—and the delay is not due to the customer—the customer may cancel the delayed portion of the order by sending written notice. No further claims or compensations will be granted in relation to the delay.
9.0 Subscriptions
9.1 Commitment Period
ZNC Digital subscriptions have no binding period. Customers may cancel subscriptions effective at the end of the current month.
9.2 Cancellation
To cancel a subscription, the customer must submit written notice to ZNC Digital no later than the day before a new billing month begins. If the subscription was prepaid for multiple months, the unused months will be refunded.
9.3 Payment Terms
The first monthly payment is charged immediately upon subscription sign-up. Subsequent payments will be automatically charged on the same calendar day each month. Card details are securely stored for recurring billing purposes.
9.4 Payment via Invoice
Alternatively, customers may opt for monthly invoicing. Invoices are sent by email 10 days prior to the due date.
10.0 Liability
10.1 General Liability
Each party is responsible for its own actions and omissions in accordance with applicable law, subject to the limitations outlined in this Agreement. Upon project delivery, the customer has five (5) business days to review and report any defects that deviate from the agreed specifications.
10.2 Disclaimer of Liability for Third-Party Services and Performance
ZNC Digital does not guarantee the operational reliability, continued compatibility, or future functionality of any third-party services, including but not limited to WordPress, themes, and plugins. ZNC Digital shall not be held liable for any website downtime or service interruptions resulting from changes to DNS settings, domain configurations, or actions taken by third-party providers.
Furthermore, while ZNC Digital may implement search engine optimization (SEO) best practices, it does not guarantee placement or ranking on search engines and shall not be held responsible for fluctuations or changes in search engine results.
10.3 Limitation of Liability
ZNC Digital’s total liability, regardless of circumstances, will not exceed the total amount paid for the specific project or assignment.
10.4 Exclusion of Indirect Damages
ZNC Digital is not liable for any indirect or consequential losses, including—but not limited to—loss of revenue, profits, business opportunities, production time, or goodwill, except in cases of intentional misconduct or gross negligence.
10.5 Force Majeure
ZNC Digital is not liable for failure to meet obligations due to force majeure events. This includes unforeseen and uncontrollable circumstances such as natural disasters, war, terrorism, fire, flooding, vandalism, or labour disputes. The exemption remains valid for the duration of the force majeure event.
11.0 Intellectual Property Rights
11.1 Ownership and Licensing
Upon full payment for the services rendered, the customer is granted a non-exclusive, royalty-free, and unlimited license to use any intellectual property rights developed by ZNC Digital during the project. This license applies only to purposes relevant to the customer’s ordinary business activities or as separately agreed in writing.
All intellectual property rights—including, but not limited to, design, source code, and copyright—remain the property of ZNC Digital. If any open-source or third-party software is used in the project, it will be governed by its own respective license terms.
ZNC Digital retains the right to use any material produced during the project for marketing and promotional purposes, including but not limited to its website, social media, advertising, member platforms, and print media. By accepting these terms, the customer gives ZNC Digital consent to use images, content, and other materials developed during the assignment for such purposes.
11.2 Intellectual Property Infringement
ZNC Digital bears no responsibility for any infringement of third-party intellectual property rights unless such infringement was intentional. Should a third-party claim arise due to such an infringement, the customer agrees to indemnify ZNC Digital, except in cases where the infringement was intentional.
12.0 Personal Information
12.1 Information You Provide
ZNC Digital collects personal data that users actively submit. This includes, but is not limited to:
Contact information provided through quote requests or general inquiries submitted via our contact forms
Information shared with us through social media platforms such as LinkedIn, Instagram, and Facebook
Any data sent to us directly via email
12.2 Retention of Information
For customers of ZNC Digital, we retain contact and relevant data for up to three (3) years after the end of the business relationship, unless otherwise required by law.
13.0 Disclosure of Information
ZNC Digital only shares customer data with third parties in accordance with this policy.
We may disclose your personal data if required to comply with legal obligations, such as court orders, legal processes, or requests from authorities. Disclosure may also occur to safeguard our intellectual property, rights, or assets, or in connection with efforts to prevent fraud. This may involve sharing data with relevant organizations or enforcement bodies.
We work with external service providers and data processors who perform tasks on our behalf, such as hosting, storage, and processing of data. These third parties are contractually obligated to handle all data confidentially and are strictly prohibited from using it for any purpose other than what is outlined in their agreement with ZNC Digital. We regularly verify that our partners uphold these commitments.
ZNC Digital only uses data processors located within the EU or countries that offer adequate data protection in compliance with applicable privacy regulations. If we transfer personal data to a provider outside the EU, we ensure that such transfers comply with the legal requirements for international data transfers.

ZNC Digital accepts no responsibility for the content or data practices of any external sites.
14.0 Governing Law and Jurisdiction
14.1 Governing Law
All agreements and collaborations between the customer and ZNC Digital are governed exclusively by Danish law.
14.2 Jurisdiction
Any disputes arising from the business relationship must be settled through the Danish court system, with Herning Court as the exclusive venue. All disputes must first be attempted resolved directly between the customer and ZNC Digital before involving the court.
15.0 Security and Service Packages
15.1 Package Overview
Basic Service Package Includes:
Ongoing updates of the WordPress CMS and plugins
Testing updates and restoring previous versions if problems arise
Daily backups of the entire website
Enhanced security through an up-to-date CMS
Access to premium plugins such as Elementor Pro and JET plugins
Note: If no service package is purchased, access to these PRO licenses is included for one year from the website launch date. After that, the customer is responsible for all licensing costs.
Complete Security & Service Package Includes:
Website monitoring
Active security monitoring
Hacker insurance
Ongoing updates of the WordPress CMS and plugins
Update testing and recovery if issues arise
Daily website backups
Enhanced site security via up-to-date software
Access to premium plugins like Elementor Pro and JET plugins
Same licensing terms apply as in the Basic Package.
15.2 Technical Specifications
Monitoring:
ZNC Digital receives real-time alerts if the website becomes inaccessible and will address the issue as quickly as possible.
Daily Backups:
The website is backed up every day. In the event of data loss, the site can be restored to the most recent backup.
Continuous WordPress Updates:
ZNC Digital ensures timely updates to WordPress core software and plugins as needed. Major version upgrades (e.g., from WordPress 5 to WordPress 6) will require a new offer and separate agreement.
Post-Update Testing:
After each update, the website is tested to confirm all features function correctly. Any issues discovered are promptly resolved.
